BEEWISE STANDARD TERMS AND CONDITIONS

1. Parties to the Agreement

  • The Provider: BEEWISE, a company registered in the United Kingdom. Company Registration Number: 12106010, VAT Number: 337362301. Registered Office: 8 Domingo Street, London EC1Y OTA.
  • The Merchant: The business entity, partnership, or sole trader whose details are outlined in the signed Agreement.

2. Scope of Services

  • The Provider agrees to supply the Merchant with a Terminal and/or Payment Gateway.
  • The specific type, supplier, and quantity of the hardware or software provided are specified on the signed Agreement.
  • The services are strictly provided for the Merchant’s designated business.

3. Fees and Payment Terms

  • Monthly Subscription: The Merchant agrees to pay a Total Monthly Cost as shown on the signed Agreement.
  • Transaction Fees: The Merchant will incur transaction charges at the rate specified on the signed Agreement.
  • Obligation to Pay: All charges related to this agreement shall be paid in accordance with these Terms and Conditions.

4. Term and Termination

  • Minimum Term: This agreement operates under a strictly enforced Minimum Term, the duration of which is specified on the signed Agreement.
  • Early Termination: If this agreement ends before the end of the Minimum Term, a Termination Payment shall immediately become payable. This Termination Payment is calculated as the sum of the remaining monthly fees left in the Minimum Term, plus an administrative fee of £100.
  • Automatic Renewal: At the end of the Minimum Term, this agreement will turn into a monthly rolling agreement unless prior written notice is given by either party in accordance with standard cancellation procedures.

5. Merchant Responsibilities

Accurate Information: The Merchant warrants that all operational details, contact information, and business addresses provided on the Agreement are accurate and up to date. The Merchant must notify the Provider promptly of any changes to primary contact details, billing information, or business location.

  • Compliance: The Merchant agrees to utilise the Terminal and/or Payment Gateway solely for legitimate, lawful transactions related to their stated business operations.

6. General Provisions

  • Governing Law: This agreement and any dispute or claim arising out of or in connection with it shall be governed by and construed in accordance with the laws of England and Wales.
  • Entire Agreement: These Terms and Conditions, alongside the signed Agreement, constitute the entire agreement between the Provider and the Merchant regarding the provision of the specified services.
